By accessing and using the services provided by Corvus Network Inc. ("Company", "we", "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These terms govern your access to and use of our fiduciary intelligence platform, consultation services, and all related offerings.

If you do not agree to these terms, you must discontinue use of our services immediately. Your continued use of the platform constitutes acceptance of any modifications to these terms.

2. Scope of Services

Corvus Network Inc. provides fiduciary intelligence, wealth architecture consulting, and statutory framework advisory services to ultra-high-net-worth individuals, family offices, and institutional fiduciaries. Our services include, but are not limited to:

3. Client Eligibility

Our services are designed exclusively for sophisticated clients with substantial portfolios and complex fiduciary requirements. By engaging our services, you represent and warrant that:

4. Confidentiality and Data Protection

We maintain strict confidentiality protocols for all client information, documents, and communications. All data is encrypted in transit and at rest using industry-standard protocols. Our confidentiality obligations are detailed in our Privacy Policy and GDPR Notice.

5. Payment Terms

Payment for services is processed securely through our platform. All fees are stated in U.S. Dollars (USD) and must be paid in advance unless alternative arrangements are established in writing. Our complete payment and refund policies are outlined in our Refund Policy.

6. Intellectual Property

All content, analysis, frameworks, and deliverables provided by Corvus Network Inc. remain our intellectual property unless explicitly transferred in writing. Clients receive a limited, non-transferable license to use our deliverables solely for their intended purpose.

7. Participation Covenant; Reliance Conditions

The Client's eligibility to receive consultative input, experiential analysis, and implementation-focused commentary under this Agreement is expressly contingent upon the Client's continuous, active participation throughout the full twelve (12) month service term. Active participation includes, without limitation, timely attendance at scheduled consultative engagements, utilization of allocated consultation availability, and engagement with educational, procedural, and instructional materials as directed.

All consultative communications are provided solely in response to fiduciary actions undertaken in good faith and are limited to non-authoritative, experience-based observations concerning operational execution. No communication issued by the Company constitutes legal advice, tax advice, accounting advice, fiduciary direction, or a substitute for services rendered by licensed professionals. The Client expressly acknowledges that no reliance interest is created outside the scope of active engagement.

Where the Client elects to disengage, partially disengage, decline scheduled consultations, or otherwise fail to remain actively involved during the service term, the Company shall have no duty to review, reconcile, correct, validate, or remediate any resulting outcomes, documentation, filings, or fiduciary actions. Any consequences arising therefrom shall be borne exclusively by the Client.

In the event the Client disengages from participation, communication, or cooperation for a period exceeding thirty (30) consecutive days, any third-party services provided by contracted entities may require renewal, reinstatement, or re-execution of a separate agreement, strictly at the sole discretion of the applicable contracted third-party entity.

All services provided within the twelve (12) month service term shall be delivered on a continuous and fluid scheduling basis and shall not be subject to interruption. The Client shall not have the right to pause services and subsequently elect to resume such services at will and without a duly executed and signed agreement with the applicable third-party contractor.

The twelve (12) month service term under the agreement with Corvus Network, Inc. shall not pause, toll, suspend, or restart at the election, request, or discretion of the Client. The service term shall continue to run in full for its stated duration regardless of the Client's level of participation or non-participation, at the sole discretion of Corvus Network, Inc., unless and until a separate written agreement modifying such terms has been executed and agreed to by the parties.

8. Third-Party Professional Responsibility

The Company prepares trust instruments, amendments, certifications, memoranda, and related documents, and performs fiduciary analyses and classifications, at the direction of its clients. Where expressly appointed under a governing instrument and a written service agreement, the Company serves as trust protector or trust director, or as an officer of a client entity, in the capacity the instrument and governing law assign. The Company is not a law firm and does not provide legal representation or render legal or tax advice, and no attorney-client relationship arises from any engagement. Clients remain responsible for review of all instruments, classifications, and filings by independent counsel and tax and accounting professionals of their own selection, and Company deliverables do not substitute for such review. Responsibility for all legal interpretation, fiduciary accounting treatment, income characterization, reporting obligations, and tax filings—including any fiduciary income tax returns—rests solely with professionals retained independently by the Client.

The Company expressly disclaims responsibility for outcomes arising from actions taken without contemporaneous consultative engagement or from reliance on information provided outside the context of an active service relationship.

9. Indemnification

To the fullest extent permitted by applicable law, the Client shall indemnify, defend, and hold harmless the Company, its officers, directors, members, managers, employees, contractors, and affiliates from and against any and all claims, demands, liabilities, losses, damages, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  1. the Client's failure to maintain continuous participation during the service term;
  2. actions taken by the Client or any fiduciary without ongoing consultative engagement;
  3. reliance upon consultative communications as legal, tax, accounting, or fiduciary advice;
  4. errors, omissions, or interpretations made by third-party professionals retained by the Client; or
  5. any use of the Company's services in a manner inconsistent with this Agreement.

This indemnification obligation shall survive termination, expiration, or disengagement from services.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall the Company be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation loss of profits, loss of tax benefits, penalties, interest, or regulatory sanctions, regardless of theory of liability and whether or not the Company was advised of the possibility of such damages.

The Company's aggregate liability, if any, arising out of or related to this Agreement shall not exceed the fees actually paid by the Client to the Company during the twelve (12) month period giving rise to the claim. This limitation applies notwithstanding any failure of essential purpose.

11. Amendments; Continuing Effect

The Company may revise, supplement, or amend these Terms and Conditions from time to time to reflect regulatory developments, jurisdictional requirements, risk-management considerations, or compliance enhancements. Any such modification shall not invalidate or extinguish previously executed contractual obligations but shall operate as a prospective addendum to the extent necessary to maintain enforceability and regulatory conformity.

Clients who elect to suspend, limit, or terminate participation—whether in whole or in part—bear sole responsibility for remaining informed of the most current version of these Terms and Conditions. Continued reliance on prior versions without review of updates shall be at the Client's sole risk.

12. Dispute Resolution

Any disputes arising from these terms shall be resolved through binding arbitration in the State of Wyoming in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs unless the arbitrator determines otherwise.

13. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.
