These Terms of Service govern access to and use of the Corvus Network Inc. digital platform, including associated portals, interfaces, communication tools, and infrastructure (collectively, the "Platform"). Substantive service obligations, risk allocation, reliance limitations, fiduciary posture, indemnification, and liability limitations are governed exclusively by the Terms & Conditions and any executed service agreements, each of which is incorporated herein by reference.

1. Platform Purpose and Functionality

The Platform is designed to facilitate secure interaction between Corvus Network Inc. and approved users, including controlled information exchange, scheduling of consultative interactions, delivery of strategic intelligence outputs, and secure document transmission. The Platform operates solely as a coordination and delivery environment and does not independently generate determinations, recommendations, or professional conclusions.

Access to the Platform does not, by itself, create any advisory relationship, fiduciary relationship, or engagement obligation.

2. Account Creation and Access Control

Certain Platform features require account registration. Users agree to provide accurate, current, and complete registration information and to maintain such information on an ongoing basis.

Users are solely responsible for safeguarding access credentials and for all activity occurring under their account, whether authorized or unauthorized. Corvus Network Inc. bears no responsibility for losses arising from compromised credentials or failure to maintain account security.

Unauthorized access or suspected misuse must be reported promptly.

3. Inquiry and Engagement Process

Submission of an inquiry, intake form, or consultation request through the Platform is informational only and does not constitute engagement, acceptance, or representation.

All services require formal acceptance by Corvus Network Inc., execution of a separate written service agreement, and receipt of applicable fees. Corvus Network Inc. reserves the right to decline any inquiry in its sole discretion.

4. Service Offerings and Commercial Structure

Services are delivered through structured intelligence engagements offered at varying investment levels. Specific scope, exclusions, deliverables, and timelines are defined exclusively within individual service agreements. No Platform content modifies or expands such agreements.

5. User Conduct and Cooperation

Users agree to interact with the Platform in a lawful, cooperative, and commercially reasonable manner, including timely provision of requested information, preservation of confidentiality, and use of deliverables solely for legitimate purposes consistent with applicable agreements and laws.

6. Restricted Activities

Users may not misuse the Platform for unlawful, deceptive, or unauthorized purposes; introduce malicious code; attempt unauthorized access; misrepresent identity or authority; or infringe intellectual property or third-party rights. Violations may result in immediate suspension or termination.

7. Document Transmission and Data Security

The Platform utilizes enterprise-grade cloud infrastructure with encryption in transit and at rest. Users assume full responsibility for safeguarding downloaded or accessed materials once in their possession.

8. Payments and Transaction Processing

Payments are processed through third-party providers. Corvus Network Inc. does not store full payment credentials. Payment authorization constitutes consent to charge designated methods pursuant to applicable agreements.

9. Intellectual Property and Usage Rights

All Platform architecture, content, methodologies, and frameworks are the exclusive property of Corvus Network Inc. or its licensors. Client-specific deliverables are licensed solely as provided in the applicable service agreement. No ownership rights are transferred.

10. Third-Party Integrations

The Platform interoperates with third-party service providers. Use of such services is governed by their respective terms and policies. Corvus Network Inc. assumes no responsibility for third-party systems.

11. Availability and Modifications

Platform access may be modified, suspended, or interrupted for maintenance, upgrades, or unforeseen events. Uninterrupted availability is not guaranteed.

12. Suspension and Termination of Access

Corvus Network Inc. may suspend or revoke Platform access for violations of these Terms, the Terms & Conditions, or applicable agreements, or to protect system integrity. Upon termination, all access rights immediately cease.

13. Disclaimers

The Platform is provided on an "as available" basis. No warranties are made regarding performance, accuracy, security, or suitability. Users assume all risks associated with Platform use.

14. Indemnity Alignment

User indemnification obligations arising from Platform use are governed by and fully aligned with the indemnification provisions contained in the Terms & Conditions, which control in the event of any inconsistency.

15. Governing Law; Mandatory Arbitration; Venue

These Terms of Service, together with the Terms & Conditions and any applicable service agreement, are governed exclusively by the laws of the State of Florida.

Any dispute arising out of or relating to the Platform or services shall be resolved exclusively through final and binding arbitration administered in Miami-Dade County, Florida, before a single arbitrator experienced in commercial or fiduciary matters, under the Commercial Arbitration Rules of the American Arbitration Association. Jury trials and class or representative actions are expressly waived. This provision survives termination.

16. Confidentiality and Non-Circumvention (Private Client Standard)

All non-public information disclosed through the Platform, including structural designs, strategic intelligence, methodologies, fiduciary workflows, and client-specific materials, constitutes Confidential Information.

Users agree to maintain strict confidentiality consistent with private banking and family-office standards and shall not disclose, replicate, or use Confidential Information for purposes other than those expressly permitted under an applicable agreement.

Users further agree not to circumvent Corvus Network Inc. by directly engaging or soliciting personnel, counterparties, or proprietary relationships introduced through the Platform, except as expressly authorized in writing. This obligation survives termination.

17. Force Majeure; Regulatory Change

Corvus Network Inc. shall not be liable for delays, interruptions, or failures resulting from events beyond its reasonable control, including but not limited to acts of God, governmental actions, regulatory changes, system failures, market disruptions, or changes in law or compliance requirements.

The Company reserves the right to modify Platform operations or service delivery to maintain regulatory conformity or risk integrity without constituting breach.

18. Non-Disparagement

Users agree not to make false, misleading, or disparaging statements—public or private—regarding Corvus Network Inc., its personnel, or its services. This provision does not restrict truthful statements required by law.

19. Client Sophistication and Suitability Acknowledgment

Users acknowledge that the Platform and associated services are intended exclusively for sophisticated clients, including private banking clients, family offices, trustees, fiduciaries, and high-net-worth individuals operating through recognized legal structures.

Users affirm that they possess—or retain access to—independent professional resources necessary to evaluate and implement decisions arising from Platform interactions and that the Platform is suitable for their level of experience and complexity.

Appendix A — Fiduciary Capacity and Appointed Roles

1. No authority from the Platform. Nothing within the Platform, the public site, these Terms of Service, or any inquiry, consultation, or communication confers trusteeship, trust-protector authority, directorship, fiduciary discretion, or decision-making power upon Corvus Network Inc. Access, inquiry, and consultation create no fiduciary relationship.

2. Appointed roles. Corvus Network Inc. serves as trust protector, as trust director or other direction holder, as compliance officer, or in any other named office only where both of the following exist: express appointment under a governing instrument, corporate action, or court order; and a written service agreement executed by the Company defining the engagement.

3. Capacity as assigned. Where so appointed, the Company serves in the capacity the governing instrument and the law of the governing jurisdiction assign. Where that law treats a holder of the granted powers as a fiduciary, the Company serves as a fiduciary with respect to those powers. Where the instrument and an enabling statute validly designate the role nonfiduciary, the Company serves in that nonfiduciary capacity. Service as a compliance officer of a client entity is service as an officer of that entity, owing the duties officers owe under the law of its formation.

4. All other authority. Except under an appointment and agreement described in this Appendix, all fiduciary authority remains exclusively with the parties legally appointed under governing instruments and applicable law.
